The above document sent to the President and Vice Chancellor of UNISEL, Prof Dato Dr Mohammad Redhuan Othman involve legal advise seek by the firm of A Razak & Co. with regard to the dispute between UNISEL and Jana Niaga Sdn Bhd (JNSB). UNISEL did not agree but was forced to agree to a directive by Menteri Besar (Selamngor) Incorporated (MBI) to interfere in the resolution to solve the dispute.  

MBI is to take the necessary action and make the decision for UNISEL. With their knowledge and prior consultation of UNISEL, MBI paid the amount opf RM10 million on 24 February, 2015. The said amount was considered as UNISEL debt to MBI.

On the same date of 24 February 2015, a resolution among members of the board of Pendidikan Industri Ys Sdn Bhd (PIYSB) justified the payment of RM10 million to Jana Niaga. Prior to that, on the 19 January 2015, UNISEL received a letter from the Office of the Menteri Besar on the proposal for the said dispute. Subsequently, on 27 February 2015, UNISEL which disagreed and terminated the contract of Jana Niaga, was forced to agree.

It is as though there is a secret deal being covered up with use of law involving withdrawal of large sum of money from UNISEL. Among others, on 27 Januari 2015, MBI offered to settle the dispute through the willingnes sof Jana Niaga to to resume their service as contractor with an advance payment of RM10 million before proposal for settlement of dispute. MBI also suggested advance payment to JNSB in the form of RM5 million out of RM40 million as demanded from JNSB and RM5 million as initial capital to start maintainance operational work.

Members of the Board of Directors of PIYSB seemed forced to accept the directive by MBI and approve the proposal in a circular resolution dated 18 February 2015.

Surat berkenaan dihantar kepada Presiden dan Naib Canselor UNISEL Pro. Dato' Dr. Mohammad Redzuan Othman membabitkan nasihat perundangan yang dipohon oleh firma guaman A. Razak & Co berkenaan isu pertikaian antara UNISEL dengan Jana Niaga Sdn Bhd. UNISEL tidak bersetuju tetapi telah dipaksa bersetuju menerusi arahan bahawa Menteri Besar (Selangor) Incorporated (MBI) akan campurtangan untuk menyelesaikan perselisihan tyersebut. 

MBI akan bertindak dan membuat keputusan bagi pihak UNISEL. Tanpa pengetahuan dan tanpa merundingkannya terlebih dahulu dengan UNISEL, MBI telah membuat bayaran sebanyak RM10 juta pada 24 Februari 2015. Jumlah tersebut dianggap sebagai hutang UNISEL kepada MBI.

Pada tarikh yang sama iaitu 24 Februari 2015, satu ketetapan resolusi antara Ahli Lembaga Pengarah Pendidikan Industri Ys Sdn Bhd (PIYSB) untuk mewajarkan pembayaran sebanyak RM10 juta kepada Jana Niaga. Sebelum itu, pada 19 Januari 2015, UNISEL telah menerima surat daripada Pejabat Menteri Besar bagi cadangan penyelesaian pertikaian tersebut. Seterusmya, pada 27 Februari 2015, UNISEL yang tidak puashati dan telah menamatkan kontrak Jana Niaga bersetuju dalam paksa.

Ia seolah-olah ada urusan tersembunyi yang cuba ditutup dengan menggunakan undang-undang membabitkan pengeluaran wang UNISEL yang sangat besar. Antara lain, pada 27 Januari 2015, MBI menawarkan penyelesaian menerusi kesediaan JNSB untuk menyambung semula khidmat sebagai kontraktor dengan bayaran pendahuluan sebanyak RM10 juta sebagai pra-cadangan penyelesaian. MBI turut mencadangkan pemberian pendahuluan kepada JNSB berupa RM5 juta daripada jumlah RM40 juta yang dituntut JNSB, dan RM5 juta sebagai modal permulaan bagi memulakan kerja-kerja operasi penyelenggaraan.

Ahli Lembaga Pengarah PIYSB seolah-olah terpaksa terima arahan MBI untuk setuju dan luluskan cadangan dalam resolusi pekeliling bertarikh 18 Februari 2015.
